Terms And Conditions
1. Parties, Definitions and Scope
1.1 XValue is a digital-asset marketplace and a product of XOSPACE. These Terms of Use (“Terms”) are entered into between you (“you” or “User”) and شركة فضاء اكسو لتقنية المعلومات (registered English company name: XOSPACE a company registered in the Kingdom of Saudi Arabia under Commercial Registration No. 7031231322, with its registered address in Riyadh, Saudi Arabia (the “Operator”, “Company”, “we”, “us” or “our”). The registration details and the relationship between the registered Operator and the XOSPACE brand must be verified before publication.
1.2 “Platform” means the XValue website, user accounts, listing and messaging functions, and any other XValue features expressly offered at the time of use. “Digital Asset” means a digital business, website, domain name, application, software product or other digital right that can lawfully be sold and transferred, subject to the applicable terms of third-party service providers. “Seller” means the person legally entitled to offer a Digital Asset for sale. “Buyer” means a person considering or purchasing a Digital Asset. “Broker” means a person expressly authorized by the Operator under a separate written arrangement.
1.3 These Terms govern your access to and use of the Platform. The applicable Privacy Policy, any plan or listing rules expressly displayed to you, and the transaction-specific fees, payment instructions and sale conditions expressly accepted by the relevant parties supplement these Terms. Where a separately accepted transaction agreement expressly governs a specific subject, that agreement controls for that transaction to the extent permitted by applicable law. Mandatory legal rights always prevail over inconsistent wording.
2. Acceptance and Eligibility
2.1 You must be at least 18 years old, have legal capacity to contract and use the Platform only for lawful purposes. If you act on behalf of an organization, you confirm that you have authority to represent and bind that organization.
2.2 By registering an account, selecting an electronic acceptance mechanism or otherwise using the Platform after being given appropriate notice of these Terms, you agree to be bound by them, subject to mandatory law. If you do not agree, do not use the Platform.
2.3 The Operator may restrict access to certain jurisdictions, asset types, users or transactions when required by law, sanctions restrictions, payment-provider requirements, security considerations or the conditions of a particular service.
3. Digital Assets and Available Services
3.1 Subject to eligibility and lawful transferability, listings may concern websites, domain names, e-commerce operations, SaaS and software products, mobile applications, digital projects, intellectual property and other eligible digital businesses or rights.
3.2 Listing an asset does not mean that all associated licenses, social-media accounts, game accounts, customer databases, hosting contracts, payment accounts, advertising accounts, domain services or third-party agreements are transferable. Assets or components that cannot legally or contractually be transferred must not be represented as included in a sale.
3.3 XValue currently focuses on the sale and transfer of Digital Assets. A listing does not constitute an offer of equity, securities, revenue-sharing or regulated investment services. Features described as planned, pending or under development are not contractual entitlements unless they become expressly available and are accepted under applicable terms.
4. Platform Role, Verification and Professional Advice
4.1 XValue provides a marketplace for listing Digital Assets, discovering prospective counterparties and communicating about possible transactions. Unless a separate written agreement expressly states otherwise, the Operator is not the seller, buyer, owner or guarantor of any listed asset and does not become a party to an asset-sale agreement solely because the parties met through the Platform.
4.2 Standard account registration or email verification does not constitute verification of a user’s legal identity, beneficial ownership, financial resources, authority to sell or ability to perform. The Operator may request additional documents or arrange compliance checks where appropriate, but no listing, user profile or badge is a guarantee of those matters.
4.3 The Operator does not itself act as an escrow agent or hold client money merely by displaying payment or escrow options. Any escrow or payment service is governed by the terms of the independent provider actually used for that transaction.
4.4 Content, estimates, valuations, market data and communications provided through the Platform are general information and are not individualized legal, tax, accounting, financial or investment advice.
5. Accounts, Accuracy and Security
5.1 You must provide complete, accurate and current account information and promptly update material changes. You must keep your login credentials secure, must not share access in a manner that compromises security and must promptly report suspected unauthorized account use.
5.2 You are responsible for actions taken through your account to the extent provided by applicable law. You must not impersonate another person, create fraudulent accounts or misrepresent your authority to act for a business or an asset owner.
5.3 The Operator may request reasonable documentation regarding identity, asset ownership, authorization, company registration, beneficial ownership, financial statements or other compliance matters where required to assess eligibility, fraud risk or the legality of a proposed transaction. Requests and processing are subject to applicable law and the Privacy Policy.
6. Seller Representations and Disclosure Obligations
6.1 By publishing a listing, a Seller represents that the Seller owns the Digital Asset or holds valid authorization to sell the specific rights offered, and that the asset may be transferred on the proposed terms.
6.2 Sellers must accurately describe the asset, its ownership, business model, financial performance, costs, traffic, user activity, technology, intellectual property, material contracts, liabilities, disputes, restrictions and other information material to a reasonable Buyer’s decision. Sellers must not use fabricated figures, misleading screenshots, inaccurate claims or selectively omitted material facts.
6.3 Excluded components and conditions. Any rights, software modules, datasets, third-party licenses, intellectual property, accounts, customer relationships or other components excluded from the sale must be clearly identified in the listing and in the final written sale agreement. Any required licensing, security, contractual, regulatory or third-party clearance must likewise be described. The Buyer must be informed of, and expressly accept, material exclusions and preconditions before completing the transaction.
6.4 Sellers must disclose non-transferable arrangements, liens, third-party rights, required consents and material operational or security risks. A Seller must not transfer personal data or other restricted information without an appropriate legal basis and the required notices, authorizations or contractual protections.
6.5 Sellers are responsible for completing the agreed handover and for their own warranties, representations, disclosures, tax obligations and commitments under the final sale agreement.
7. Buyer Responsibilities and Due Diligence
7.1 A Buyer must independently evaluate the Digital Asset and conduct due diligence appropriate to the transaction, including title, Seller authority, reported revenue and expenses, source code, cybersecurity, hosting, intellectual property, material contracts, transferability, data protection, taxes and liabilities.
7.2 A Buyer must review and expressly acknowledge all material asset exclusions, third-party restrictions, required approvals and transfer conditions in the listing and final written sale agreement. A Buyer must not assume that an account or license transfers merely because it is mentioned in a listing.
7.3 Buyers must provide truthful transaction information, comply with lawful verification requirements and pay the amounts expressly accepted as their responsibility. Buyers should obtain independent professional advice when warranted by the asset, jurisdiction or transaction value.
8. Listing Rules, Duration and User Content
8.1 Essential (Free) plan. A Seller using the Essential Free plan may have one active listing at a time without a listing charge. Publishing a second asset while the first is active requires an eligible upgrade, if such an upgrade is offered. This does not create an entitlement to unlimited simultaneous free listings.
8.2 The minimum initial asking price for a new listing is USD 100. The asking price is distinct from the final negotiated sale price, which may differ. Other eligibility rules or supported currencies must be disclosed before a listing is submitted.
8.3 A listing ordinarily remains active for 12 months from publication unless removed or suspended earlier. At the end of that period, it is archived. Subject to continued eligibility and any reasonable review, the Seller may renew or reactivate it for a further 12 months without a listing renewal charge after confirming that the listing information remains accurate and current.
8.4 Listings are non-exclusive. A Seller may also market an asset elsewhere and may request removal of a listing at any time, without a removal penalty. Removal does not cancel a separately accepted purchase agreement or other valid obligations already incurred in a pending or completed transaction.
8.5 Users retain rights in their own listing materials and grant the Operator a non-exclusive, worldwide, royalty-free license, for the period reasonably necessary, to host, reproduce, format, display, distribute and promote those materials for operation and promotion of the Platform, subject to intellectual-property law and privacy rights. Users warrant they have the rights needed to grant that license.
8.6 The Operator may review, request corrections to, reject, suspend or remove listings containing materially false, insufficient, infringing, unlawful, non-transferable or otherwise high-risk content, acting reasonably and in compliance with applicable law. Publication or moderation does not constitute a warranty or independent audit of the listing.
9. Negotiations, Sale Agreements and Asset Transfer
9.1 Buyers and Sellers are responsible for agreeing on the final sale price, scope of included and excluded rights, payment method, due-diligence requirements, transfer steps, consents, timing, tax treatment, warranties, conditions precedent, remedies and dispute procedures.
9.2 A listing, inquiry, chat message or preliminary expression of interest does not by itself complete a sale. The parties must document their binding agreement through the mechanisms or documents applicable to the transaction.
9.3 Transfer must comply with applicable law and the terms of relevant service providers, including domain registrars, software licensors, cloud hosts, app stores and social networks. When required permissions or authorizations cannot be obtained, the affected rights must be excluded or the transaction must be revised, suspended or cancelled in accordance with the parties’ agreement and applicable law.
9.4 No transfer is guaranteed merely because an asset is listed. Completion must be supported by the evidence, acknowledgements or confirmation process agreed for that transaction; the Operator may request reasonable evidence when determining whether a Platform fee has become due.
10. Fees, Commissions, Payment Providers and Refunds
10.1 Standard XValue success-fee rates. Unless a different rate is expressly agreed and displayed before transaction confirmation, the Platform success fee is calculated on the entire final agreed sale price, rather than as progressive marginal brackets, using the following schedule:
Final agreed sale price (USD) |
XValue success-fee rate |
|
Up to and including USD 1,000 |
5% |
|
Above USD 1,000 up to and including USD 10,000 |
3% |
|
Above USD 10,000 |
1% |
10.2 The rate is determined by the final completed transaction value, including any negotiated price reduction before completion, and not automatically by the original listing price. The Operator does not impose a minimum success-fee amount under this standard schedule.
10.3 Who pays which fee. Under XValue’s standard marketplace commission model, the Buyer pays the XValue Platform success fee calculated under Articles 10.1 and 10.2, together with all applicable and separately disclosed payment-processing, independent escrow-provider and other third-party transaction fees. These fees are payable by the Buyer in addition to the final agreed asset sale price, and their amounts or calculation methods must be disclosed to and expressly accepted by the Buyer before transaction confirmation. The Seller receives the full final agreed asset sale price without deductions for XValue Platform success fees or payment and escrow-provider charges, subject to applicable law and any separately agreed Seller obligations, including brokerage fees under Article 10.4.
10.4 Broker fees are separate. An additional brokerage or intermediary fee is not part of the XValue Platform success-fee rate. Under an applicable Seller-broker agreement, that fee may be payable by the Seller separately from the XValue Platform success fee, but only where its calculation, amount or rate, responsible payer and payment trigger have been clearly disclosed and expressly agreed. A different allocation for a specific transaction must be documented before the parties proceed.
10.5 Payment methods. Available payment and escrow options may depend on price, country, eligibility and provider rules. The Operator may facilitate access to independent providers, including payment processors and escrow companies, where actually supported. The names, availability, charges, timing and applicable provider terms must be displayed before the relevant payment is authorized. The Operator does not represent itself as a regulated escrow provider and does not promise to hold funds unless separately licensed and expressly authorized to do so.
10.6 When a success fee is earned. XValue’s success fee becomes payable only when (a) the Buyer’s required payment has been successfully completed, (b) the agreed asset transfer has been successfully completed, and (c) the transaction is confirmed as closed under the applicable process. No XValue success fee is owed for a transaction that fails or is cancelled before these completion conditions are met.
10.7 Reversals and refunds. If a completed transaction is subsequently formally and verifiably reversed, the Buyer receives back the relevant transaction payment and the required restoration or return of the asset is addressed, the Operator will refund the associated XValue success fee in accordance with verified evidence, the transaction terms and applicable law. An informal private decision to undo a deal does not by itself qualify. Partial reversals, chargebacks, disputed transfers, recovery of distributed fees and time limits must follow the expressly disclosed transaction rules and mandatory law; they are not automatically treated as full reversals.
10.8 Taxes and changes. Applicable taxes, including VAT where required, will be disclosed and invoiced according to law. Any future change to fee rates or plan pricing will apply prospectively and will not retroactively alter fees already accepted for a transaction, except as lawfully agreed or required. Where conversion between currencies is needed to apply fee bands, the conversion method must be disclosed before confirmation.
11. Brokers and Separate Brokerage Arrangements
11.1 XValue may engage contracted, authorized Brokers to identify prospective Sellers or Buyers, assist with listing preparation or facilitate communications. A Broker may act only within the authority granted in the applicable written agreement and may not falsely claim to own an asset, guarantee a sale or bind the Operator or a User without authorization.
11.2 Brokerage services are separate from the general use of the Platform. Broker responsibilities, conflicts of interest, referrals, commissions, reporting, supervision, reassignment and payment conditions are governed by the applicable written brokerage agreement and the specific Seller or Buyer authorization.
11.3 Brokerage-manager dashboards, dedicated broker-management accounts, broker applications and other planned tools are available only if and when the Operator expressly launches them. Nothing in these Terms promises immediate access to a feature that has not been activated.
12. Confidentiality, Data Protection and Communications
12.1 Users who receive non-public business, financial, technical, customer or commercial information through negotiations must use it only to evaluate or complete the contemplated transaction and must not disclose it except with permission, to professional advisers bound by appropriate duties, or where legally required.
12.2 This confidentiality clause is a general contractual obligation; it is not a statement that XValue currently provides an automated non-disclosure agreement or a secure due-diligence data room. Parties may negotiate and sign a separate NDA where appropriate.
12.3 Personal data is processed in accordance with the Operator’s separate Privacy Policy and applicable data-protection laws, including the Saudi Personal Data Protection Law and any applicable international transfer requirements. Each party transferring personal data in connection with an asset sale is responsible for establishing lawful grounds and complying with applicable notice, disclosure, security and transfer obligations.
12.4 Platform and transaction notices may be delivered through the account interface, the verified account email address or other lawfully accepted contact methods. Marketing communications are subject to applicable consent and unsubscribe requirements.
13. Prohibited Conduct
13.1 Users must not engage in fraud, money laundering, impersonation, sanctions evasion, identity theft, fabricated traffic or revenue claims, infringement of intellectual property, sale of stolen or unauthorized assets, malware distribution, unauthorized access, abusive conduct or unlawful solicitation.
13.2 Users must not offer third-party accounts or licensed rights for transfer when such transfer would be prohibited by applicable law or binding provider terms, nor obtain or disclose another person’s personal information without a lawful basis.
13.3 Users must not materially interfere with Platform operations through harmful automation, unauthorized scraping, service disruption or attempts to bypass access restrictions. The Operator may investigate suspected violations and take proportionate steps, including referring credible illegal activity to competent authorities where appropriate.
14. Platform Intellectual Property
14.1 The XValue service, underlying software, designs, interfaces, branding, logos, documentation and Operator-created content remain owned by the Operator, XOSPACE or their respective licensors, as applicable. Nothing in these Terms transfers ownership of such intellectual property to a User.
14.2 Subject to these Terms, Users receive a limited, personal or internal-business, non-exclusive, revocable right to access and use the Platform for lawful marketplace purposes. This does not authorize the copying, resale, reverse engineering or commercial exploitation of the Platform itself except to the extent permitted by mandatory law or written authorization.
15. Third-Party Services
15.1 The Platform may link to or integrate independent payment, escrow, hosting, domain registration, verification, analytics or other external services. Use of those services may require acceptance of their own terms, fees, technical requirements and privacy notices.
15.2 The Operator is responsible for its own obligations under applicable law but does not warrant the uninterrupted availability of independent third-party systems or that a particular third party will approve a transfer, account change, license assignment or payment.
16. Disclaimers and Limitation of Liability
16.1 The Operator will provide the Platform with reasonable care, skill and compliance with applicable mandatory law. Except for obligations that cannot lawfully be excluded, the Operator does not guarantee that a listing will attract a Buyer, that an offer will result in a completed transaction, that a User’s statements are accurate or that a Digital Asset will achieve any specific future performance.
16.2 To the extent permitted by applicable law, the Operator will not be liable for indirect or consequential losses resulting from events outside its reasonable control, third-party contractual restrictions, independent provider outages or inaccurate statements made by other Users. This does not exclude liability arising from the Operator’s own conduct where applicable law prevents such exclusion.
16.3 Nothing in these Terms removes non-excludable statutory rights or lawful remedies, or excludes liability for fraud, intentional misconduct or any other liability that cannot legally be limited.
17. User Responsibility for Breaches
17.1 Users are responsible, as provided by applicable law, for direct loss or damage proven to result from their material breach of these Terms, knowing misrepresentation, infringement of another person’s rights or fraudulent activities.
17.2 Liability and any recovery are subject to applicable legal standards, causation, defenses, procedural rights and mandatory consumer protections. The Operator does not obtain an automatic right to impose arbitrary penalties merely because a dispute arises.
18. Suspension, Removal and Account Closure
18.1 The Operator may warn, restrict, suspend or close an account or listing when reasonably necessary to respond to a material breach, security incident, credible fraud risk, unlawful activity, payment-provider restriction or binding legal instruction. Measures will be proportionate and a review or appeal contact will be offered where practicable.
18.2 Users may request closure of their accounts and removal of active listings. Closure may be delayed or limited to the extent necessary to complete already agreed transactions, handle disputes, preserve legally required records or meet other lawful obligations.
18.3 Account closure or listing removal does not automatically extinguish fees already lawfully earned, contractual liabilities previously incurred or confidentiality obligations that by their nature survive termination.
19. Changes to the Terms and Services
19.1 The Operator may amend these Terms for legal, security, operational or service-related reasons. The current version and its effective date will be made available on the Platform. Material changes will be communicated with reasonable advance notice where practicable and fresh acceptance obtained where required by law.
19.2 Amendments will not retroactively change fees or contractual rights already agreed for a completed transaction, except where lawfully required or expressly agreed by the affected parties.
19.3 The Operator may modify, add or discontinue optional features and plans, subject to existing contractual commitments, any required notice and mandatory applicable law.
20. Customer Support, Complaints and Transaction Disputes
20.1 Users may contact the Operator through [email protected] or other official support channels displayed on the Platform. Complaints should describe the issue and, if relevant, include the transaction identifier and supporting documents. Users should not send passwords or other unnecessary sensitive credentials.
20.2 The Operator may assist in documenting or facilitating communications about disputes but is not automatically an arbitrator, adjudicator or guarantor of a Buyer-Seller sale. Escrow disputes, payment reversals and chargebacks are also subject to the rules and procedures of the independent provider involved.
20.3 The Operator will make reasonable efforts to handle complaints within appropriate periods and in accordance with applicable legal requirements. Nothing in these Terms prevents a User from seeking redress through competent regulators, dispute-resolution bodies or courts where legally available.
21. Governing Law and Jurisdiction
21.1 These Terms are governed by the laws and regulations of the Kingdom of Saudi Arabia, without prejudice to any mandatory law that applies to a User or particular transaction.
21.2 Subject to mandatory consumer rights and jurisdiction rules, disputes concerning these Terms may be brought before the competent courts in Riyadh, Saudi Arabia. A separate Buyer-Seller agreement may establish lawful dispute procedures for the underlying asset sale without making the Operator a party to that sale.
22. General Provisions, Language and Contact
22.1 If any provision is held unenforceable, the remaining provisions remain effective to the extent permitted by law. A delay in exercising a contractual right does not by itself waive that right.
22.2 Operator: شركة فضاء اكسو لتقنية المعلومات - English registered name: XOSPACE. Brand: XOSPACE. Product: XValue. Commercial Registration: 7031231322. Registered address: Riyadh, Saudi Arabia Email: [email protected].
